什麼是 PTP ？
Public Traded Partnership是一種投資型合夥企業
其股份可以在證券交易所上市交易
與一般的股份有限公司不同的是
Public Traded Partnership的利潤不會被公司所扣稅
而是直接流至投資者手中
這也是為什麼之前有許多美國公司是採用 PTP 模式
因為美國政府課不到稅。
為什麼美國選擇這時候更改規則？
更改規則是很常見的事情，大概每隔幾年就會更改
但更為重要的是，要知道其應對方法。
而這次的更改是因為原本美國政府課不到稅金
在任何地方開立公司，政府都是想分一杯羹的
而這類型的公司原本不用課稅
現在被補繳，也只是剛好而已
但讓外國人來交易卻被課 10%
卻是不合理
因此，現在這些公司也做應對
脫離 PTP 模式

Withholding on Publicly Traded Partnerships effective 1/1/2023
We would like you to know the U.S. Department of the Treasury and the Internal Revenue Service (IRS) have introduced new regulations under section 1446(f) regarding Publicly Traded Partnerships (PTPs) held by foreign persons (individuals and entities). The withholding requirements under the new regulations go into effect on January 1, 2023.
What this means for you
If you transact any PTP security on or after January 1, 2023:
- We will withhold 10% of gross proceeds from sales of PTP securities and certain distributions by PTPs.
- The transactions and related withholding tax will also be reported on Form 1042-S, Foreign Person’s U.S. Source Income Subject to Withholding.
- This new PTP withholding tax is separate from the existing 37% withholding for individuals and 21% withholding for entity accounts on payments of U.S. source income from your account(s) in relation to PTP securities.
